The article evaluates the admissibility of the confirmation of juridical acts executed contrary to legal person’s manner of representation. Even though the problem has been often discussed in the legal doctrine and in numerous court cases, no final conclusions have yet been drawn. It is however apparent that traditional opinion which excludes the admissibility of application of rules on power of attorney by analogy due to the so called „theory of bodies of legal persons” is being gradually replaced by the contrary view. The article analyzes practical consequences of the application of the norms on power of attorney to legal persons’ representation. The conclusion is that the new approach may lead to results unacceptable in the light of general rules of legal persons’ regulations and therefore would require legislative improvements of systemwide nature.
